About the Referral Program Terms and Conditions (T&Cs)

These Referral Program Terms and Conditions (“T&Cs”) govern the Referral Program offered by SHIPTIFY, a simplified joint-stock company with a share capital of €6,383, registered with the Nantes Trade and Companies Register under number 821524048, and headquartered at 133 Rue de Coulmiers, 44000 Nantes, France.

SHIPTIFY is the provider of a collaborative digital transport management platform under the same name, offered in SaaS mode, designed to enhance visibility, productivity, and collaboration across the supply chains of its partner companies, to improve service quality, reduce transportation expenses, optimize logistics costs, and enhance overall supply chain performance.

The purpose of the referral program is to connect SHIPTIFY with new prospects interested in its services through its existing clients, under the conditions set out below.

Participation in the Referral Program by either the Referrer or the Referred Party implies full and unconditional acceptance of these T&Cs, which are available at any time on the shiptify.com website. The T&Cs may also be sent free of charge by email or postal mail upon written request by either the Referrer or the Referred Party.

SHIPTIFY reserves the right to modify these T&Cs at any time at its sole discretion, provided such modifications are notified by any means, including email. These changes will apply immediately and only to future referrals. All referrals completed prior to any changes will remain subject to the version of the T&Cs in force at the time the referral was made (i.e., the date the Referred Party’s details were submitted by the Referrer).

Definitions

Capitalized terms used in these T&Cs have the following meanings:

• “Referrer”: A legal entity using SHIPTIFY with a valid Account and subject to SHIPTIFY’s general terms of use. The individual acting on behalf of the Referrer confirms they are fully authorized to act within the scope of this Referral Program.

• “Commission”: The amount (excluding VAT) paid to the Referrer by SHIPTIFY upon the Referred Party’s subscription to the Software, subject to SHIPTIFY’s final approval.

• “Account”: A valid account that grants access to the Software.

• “T&Cs”: These Referral Program Terms and Conditions.

• “Referred Party”: A legal entity subscribing to the Software via a Referrer’s referral link, email, or other method accepted by SHIPTIFY, acting for professional purposes.

• “Software”: The software offering named “Shiptify,” developed by SHIPTIFY SAS, provided in SaaS mode and accessible via the website, mobile app, or API, including various Modules.

• “Modules”: Tools that form part of the Shiptify software suite (TMS, Dock Management, etc.), selected during subscription.

• “Party/Parties”: Refers individually or collectively to SHIPTIFY, the Referrer, and/or the Referred Party.

• “Referral Program”: The free program offered by SHIPTIFY allowing eligible Referrers and Referred Parties to receive benefits under these T&Cs.

• “Subscription”: A request by the Referred Party to subscribe to the Software, requiring SHIPTIFY’s discretionary approval to take effect.

Referrer Participation

How to Participate

Any Referrer with a valid Account may participate in the Referral Program at any time by:

• Using the “Invite your friends” section on SHIPTIFY’s website; or

• Sending the Referred Party’s contact details (first name, email, phone number) to a SHIPTIFY sales representative by email.

In both cases, the Referrer must obtain the Referred Party’s prior consent to share their personal data with SHIPTIFY, under their sole responsibility.

Incomplete participation requests will be considered invalid.

If two Referrers submit the same Referred Party’s details, the first complete submission will be considered valid, based on the timestamp of the form or email.

Referrer Obligations

By joining the Referral Program, the Referrer agrees to provide accurate and truthful information, including their legal identity and that of the Referred Party.

These T&Cs do not establish the Referrer as an agent or representative of SHIPTIFY. The Referrer may not bind SHIPTIFY in any way or act on its behalf.

SHIPTIFY and the Referrer remain fully independent legal entities with no hierarchical relationship.

SHIPTIFY’s Obligations

Upon receiving a referral, SHIPTIFY commits to contacting the Referred Party within one month.

SHIPTIFY has sole discretion to accept or reject a Subscription request, with no obligation to justify its decision or provide compensation to the Referrer or Referred Party.

If a Subscription is validated within six months of initial contact and SHIPTIFY accepts it, the benefits described in Section V will be granted.

SHIPTIFY will notify the Referrer by email of the outcome of their referral.

Granting of Benefits

Subscription Validation Requirement

Referrer and Referred Party benefits become valid only if the Referred Party subscribes to the Software by creating an Account.

The Referrer will not receive any benefit if:

• They are not current on their SHIPTIFY payments or do not have a valid Account;

• They do not meet the participation requirements in Article 3.1;

• The referral results in a renewal or add-on to an existing customer’s subscription;

• The Referred Party is not a new customer (i.e., has had previous contractual dealings with SHIPTIFY);

• The Referred Party does not maintain their subscription for at least two months.

In all cases, SHIPTIFY will notify the Referrer if the referral is invalid.

Referrer Benefits

For each validated new Subscription, the Referrer may receive a €300 VAT-included gift card, up to a maximum of €900 per calendar year (limit of 3 paid referrals annually).

Benefits only apply to the Referred Party’s first-year subscription. Renewals do not entitle the Referrer to further rewards.

The gift card will be sent via registered mail with acknowledgment of receipt within 15 calendar days after the Referred Party's second month of subscription.

Referrers must declare the reward in their tax filings under their sole responsibility.

Referred Party Discount

The Referred Party receives:

• A €300 discount (excl. VAT) on their pilot project;

• An additional €200 discount if they launch within two months of first contact by SHIPTIFY’s sales team.

Renewals or add-ons are not eligible for further discounts.

Discounts may be withheld if the Referred Party is not current on their payments.

Program Duration

The Referral Program is ongoing and open to any legal entity using SHIPTIFY with a valid Account at the time of referral.

Intellectual Property

The Software is owned and protected by SHIPTIFY’s intellectual property rights.

These T&Cs do not grant any intellectual property rights to the Referrer, including rights to technical or commercial documentation, which remain SHIPTIFY’s exclusive property.

Liability and Warranties

SHIPTIFY’s Responsibility

SHIPTIFY is only liable for delivering legitimately earned benefits.

SHIPTIFY shall not be liable for any direct or indirect damages arising from participation in the Referral Program due to the actions of Referrers or Referred Parties.

SHIPTIFY may cancel the program or specific referrals in case of fraud, especially cyber-fraud, and reserves the right to take legal action against perpetrators.

SHIPTIFY is not responsible for technical issues (e.g., network failures, email delays, server problems, etc.) or issues related to viruses, cyberattacks, or data breaches unless caused exclusively by SHIPTIFY.

Referrer and Referred Party Warranties

Both Parties must comply with applicable laws and these T&Cs. They are solely liable for any misuse or breach.

If necessary, either Party shall indemnify SHIPTIFY (and its affiliates, executives, employees, and agents) for claims from third parties, including legal fees.

End of Program

SHIPTIFY may terminate the Referral Program at any time without compensation to the Referrer or Referred Party.

SHIPTIFY may also terminate participation for non-compliance.

Cancellation of the Referrer’s subscription will automatically end their participation.

Benefits earned before termination (except in cases of fraud) remain due.

Personal Data

SHIPTIFY is the data controller for personal data collected during the Referral Program.

Collected data includes: first name, email, phone number, referral link, dates of referral/account creation, account status, IP address, browser info, and subscription details.

Purpose & Legal Basis

Referral data is stored for 8 months unless the Referred Party subscribes. In that case, data is retained per legal requirements.

Referred Parties will be informed of their Referrer’s identity. SHIPTIFY may only contact them once unless explicit consent is given.

Parties have rights of access, correction, erasure, objection, restriction, portability, and post-mortem instruction. Early deletion of data before benefits are granted voids participation.

Complaints may be submitted to CNIL (France’s data protection authority).

Miscellaneous Provisions

• Entire Agreement: These T&Cs constitute the full agreement between the Parties.

• Conflict: In case of conflict, these T&Cs prevail.

• Severability: If one clause is invalid, the others remain in effect.

• Force Majeure: Delays or failures due to force majeure (e.g., natural disasters, strikes, cyberattacks) will suspend obligations.

• No Waiver: Failure to enforce a clause is not a waiver.

• No Subordination: No employment or agent relationship is created.

• Good Faith: Parties must act in good faith.

• Intuitu Personae: Rights and obligations may not be transferred to third parties.

Governing Law and Jurisdiction

These T&Cs are governed by French law. Any disputes shall fall under the exclusive jurisdiction of the courts where SHIPTIFY’s headquarters are located.
